The New York Women's Bar Association held its Annual Membership Meeting on Tuesday, April 10, 2012 in the Mendik Board Room of the Real Estate Board of New York, 570 Lexington Avenue (between 50th & 51st Streets; lower level).

At this meeting, the Association held elections on open Officer, Director and Delegate positions for the NYWBA's upcoming terms. Members also had the opportunity to vote on the nominees for the 2012-2013 Officers of the Women's Bar Association of the State of New York (WBASNY) and on a proposed amendment to WBASNY's By-Laws.


I. NYWBA Nominations and Elections

At its November 20, 2011 meeting, the NYWBA Committee on Nominations nominated candidates for the positions and terms stated below. NYWBA's annual elections were held at the Association’s Annual Membership Meeting on Tuesday, April 10, 2012.

In May 2012, two individuals who had been elected to the Board on April 10, 2012 advised that due to unanticipated personal circumstances they would be unable to serve. The Nominations Committee then met and nominated alternate candidates for the open positions, which nominations were ratified by a vote taken at the May 9, 2012 meeting of the NYWBA Board of Directors and in accordance with NYWBA's By-Laws (recited below).

Pursuant to the votes taken at the 2012 Annual Meeting and at the May 9, 2012 meeting of the Board of Directors, the individuals listed below were unanimously elected to the positions and terms recited below.

Formal installation of the newly-elected Officers, Directors and Delegates will take place at the NYWBA Annual Awards and Installation Dinner on Tuesday, June 12, 2012. (Go to the NYWBA Annual Dinner page on our website for details and to RSVP.)

NOTICE TO MEMBERS CONCERNING NYWBA ELECTIONS:

Article XIV, Section 1 of the By-Laws provides that only members who are in good standing and whose dues for this fiscal year were received by January 31, 2012 may vote at the Annual Meeting.

Article XVII, Section 10 of the By-Laws provides that any fifty members eligible to vote at the Annual Meeting may, by a writing delivered to the Corresponding Secretary not less than forty days prior to the Annual Meeting, propose candidates to be voted on at the Annual Meeting. Such petition must be sent to Corresponding Secretary Jennifer P. Brown, New York Women’s Bar Association, 132 East 43rd Street, The Chrysler Building, # 716, New York, New York 10017-4019 and received by or before March 1, 2012. No such petition was received this year, so the above candidates will be submitted to the membership for election at the NYWBA Annual Membership Meeting on Tuesday, April 10, 2012.
Article II, Section 2, and Article VII, Section 2 of the By-Laws provide that when a vacancy occurs after the annual meeting and/or during a officer or director's term of office, the unexpired term thereof shall be filled by a successor to be elected by the Board of Directors at its next regular meeting by a majority of the members present. The procedures set forth in these Articles was utilized this year when two Board members advised that they would be unable to serve the terms to which they had been elected due to unanticipated personal circumstances.

 

II. WBASNY Nominations and Elections

The Women's Bar Association of the State of New York will install President-elect Maureen E. Maney (Central New York Chapter) as President at the WBASNY Annual Convention on Saturday, June 2, 2012. The WBASNY Nominations Committee nominated the following candidates for other officer positions (by position, nominee & nominee’s WBASNY Chapter) in March 2012. The NYWBA membership voted to elect the following WBASNY slate of officers at the NYWBA Annual Membership Meeting on Tuesday, April 10, 2011.

The newly-elected WBASNY Officers will be installed at the WBASNY Annual Convention on Saturday, June 2, 2012 at the Turning Stone Resort Casino in Vernon, New York.

III. Proposed Amendment to WBASNY By-Laws
